How to register a clinic business in Quebec: REQ, NEQ, GST/QST and permits

The short answer. The list of registrations is short and public. What costs people weeks is the order, because several steps cannot start until an earlier one has produced a number, and two of them should happen before you sign a lease rather than after.

One thing to be clear about at the outset: registering a business is not permission to perform treatments. Those are separate questions with separate authorities — see how scope of practice is determined.

What follows is the sequence, what each step unlocks, and the five things people reliably do too late. Requirements change and municipalities differ, so treat this as a map of the terrain rather than as the current rulebook — confirm each step with the authority that runs it.

The order, and what each step unlocks

#StepWhy it comes here
1Choose the legal structureSole proprietorship or a company. It determines everything downstream, including how you are taxed and what you are personally exposed to. Settle it with an accountant and a lawyer first, not last
2Settle the nameQuebec has requirements about business names and the language of what the public sees. Choosing a name you cannot use, after you have paid for signage, is an expensive way to learn this
3Register with the enterprise registrarThis produces your Quebec enterprise number, which later steps ask for
4Federal business number and tax accountsThe federal number is the key most other accounts hang from
5GST and QST registrationRegistration is required once you pass the published small-supplier threshold, and many clinics choose to register earlier to recover tax on a build-out
6Business bankingThe bank will ask for the registration documents from steps 3 and 4
7Municipal permits and zoningCity-specific, and the step most often left too late — see below
8Employer registrationsPayroll and workplace-safety obligations, once you intend to hire
9InsuranceBound before you open, and it must name what you actually do

Where to do each one

Registering the enterprise and obtaining the Quebec enterprise number runs through the Registraire des entreprises du Québec. Sales-tax registration and the accounts that follow it run through Revenu Québec, which also publishes the small-supplier threshold that determines when registration becomes mandatory.

Language obligations are their own workstream rather than a footnote. The Office québécois de la langue française sets out what applies to businesses, and it reaches your name, your signage, your website and your client-facing documents. Decide it at step 2, when changing your mind is free.

The dependencies that cost weeks

  • The bank needs the registrations. You cannot open the business account before the entity exists, and you cannot pay deposits from it before that. Contractors want deposits early.
  • The lease should not precede the zoning check. Confirm with the municipality that your intended use is permitted at that address, and what permit the fit-out requires, before signing. A lease you cannot lawfully operate from is the most expensive document in this list.
  • Sales-tax registration affects the build. If you will be registered, the tax treatment of your construction and equipment spending is different. Decide with your accountant before the invoices start, not at year end.
  • Insurance wants specifics. Brokers need to know the modalities, the devices and who performs what — which means step 9 depends on answers you gathered for the regulatory question, not just on an address.

Five things people do too late

Left too lateWhat it costs
The municipal permitWeeks of delay at best; at worst a signed lease on premises you cannot use as intended
The scope-of-practice confirmationA menu built, marketed and staffed for services you then have to withdraw
Sales-tax registrationTax you could have recovered on the build-out, and a scramble once the threshold is crossed mid-year
Employer and workplace-safety registrationsThey are triggered by hiring, and hiring tends to happen faster than paperwork
The language questionSignage, printed material and a website that all have to be redone at once

Keep a registration file

One folder, from day one, holding: the incorporation or registration documents, the Quebec enterprise number, the federal business number, the tax account numbers, the municipal permit, the insurance certificates, the lease, and the dated written answers you received from any regulator you asked.

You will need this file three times: when the bank asks, when a lender asks — it is part of the document pack in financing a clinic — and, eventually, when a buyer’s lawyer asks. The third one is years away and is the reason to keep it properly now rather than reassembling it later; it is exactly what a buyer works through in buying an existing clinic.

Also keep the annual obligations somewhere you will see them. A registration is not a one-time act — registrations require periodic updating, and letting one lapse is a small problem that becomes visible at the worst moment, usually when someone is doing diligence on you.

What this does not cover

Registration makes the business exist. It does not decide who may perform which treatments, whether your equipment may lawfully be sold in Canada, or what you may claim in advertising. Those are three separate enquiries, each with its own authority:

Frequently asked

How do I register a business in Quebec?

Settle the legal structure and the name first, then register with the enterprise registrar to obtain your Quebec enterprise number, then the federal business number and tax accounts, then banking, municipal permits, employer registrations and insurance. The order matters because later steps ask for numbers produced by earlier ones.

Do I need to register for GST and QST right away?

Registration becomes mandatory once you pass the published small-supplier threshold, but many clinics register earlier because of how it affects tax on build-out and equipment spending. Decide it with your accountant before the construction invoices start.

When should I check municipal zoning?

Before signing the lease. Confirm with the municipality that your intended use is permitted at that address and what permit the fit-out requires. A lease on premises you cannot operate from as intended is the most expensive mistake in this sequence.

Does registering a business let me perform treatments?

No. Registration makes the business exist. Who may perform which treatments is decided by professional orders and is an entirely separate enquiry, which should be settled before you build a menu around a service.

What language obligations apply?

Quebec has requirements affecting business names and what the public sees — signage, printed material and websites among them. Settle this when choosing the name, when changing your mind costs nothing.
